WIPPASS ORGANIZER TERMS

Mandatory legal and consumer rights always prevail where they cannot lawfully be excluded or restricted.

1. SCOPE

These Organizer Terms apply to every person or organization that creates, lists, manages or sells access to an event using WIPPASS.

They supplement the general WIPPASS Terms of Service and the WIPPASS Refund & Event Cancellation Policy.

2. AUTHORITY

You confirm that you have authority to create and operate each event you list and, where acting for a company or other organization, authority to bind that organization.

WIPPASS may require identity, business, bank, KYC or other verification before enabling ticketing, payouts or higher-risk functionality.

3. ORGANIZER RESPONSIBILITY

You, not WIPPASS, are responsible for producing and delivering your event unless WIPPASS expressly agrees in writing to act as the organizer.

Your responsibilities include venue rights, permits, licences, security, health and safety, performer agreements, staffing, capacity, access, accessibility obligations, taxes, event descriptions, lawful advertising and delivery of the experience promised to purchasers.

4. ACCURATE EVENT INFORMATION

You must provide accurate, current and non-misleading event information. Material changes must be communicated promptly through WIPPASS where available.

You must not list an event you do not have a genuine and reasonable ability to deliver.

5. TICKETING AND CAPACITY

You are responsible for configuring ticket types, capacities, dates, entry conditions and pricing accurately.

You must not knowingly oversell an event or use off-platform practices intended to defeat WIPPASS inventory, fraud prevention or attendee-protection controls.

6. REFUND POLICY

You must select and maintain an event refund policy that complies with the WIPPASS Refund & Event Cancellation Policy and applicable law.

WIPPASS-standard event settings may include Flexible, Standard and Strict. A Strict setting does not remove mandatory consumer rights or WIPPASS-required refund exceptions.

After the first confirmed ticket sale, you may make the policy more generous but may not make it more restrictive for existing purchasers.

7. REQUIRED REFUNDS

Regardless of your ordinary refund setting, you must provide refunds where required by applicable law or the WIPPASS Refund & Event Cancellation Policy, including qualifying cancellation, material non-performance, material misdescription, access failure caused by you, or other mandatory cases.

8. RESPONSE TO REFUND REQUESTS

You must cooperate promptly with refund investigations and should provide an initial response to purchaser refund requests within five business days wherever reasonably practicable.

9. WIPPASS REFUND INTERVENTION

You authorize WIPPASS to issue or require refunds on your behalf where WIPPASS reasonably determines that a refund is required by law, platform policy, payment-network rules, fraud prevention, chargeback risk or material event non-performance.

You remain financially responsible for Organizer-caused refunds unless WIPPASS expressly accepts responsibility in writing.

10. PAYOUT HOLDS, RESERVES, DEDUCTIONS AND SET-OFF

To the maximum extent permitted by law, you authorize WIPPASS to:

11. PAYMENT PROCESSOR COSTS

You acknowledge that payment processors may not return the original processing charge when a transaction is refunded.

Where a refund arises because of your cancellation, non-performance, material misdescription, overselling or other Organizer responsibility, WIPPASS may allocate lawful non-refundable processing costs to you.

12. CANCELLATION AND RESCHEDULING

If you cancel an event, you must promptly update its status and communicate with affected purchasers.

If you postpone or reschedule, you must provide accurate replacement details promptly. WIPPASS may hold payouts while the event remains postponed or while material refund exposure exists.

13. CHARGEBACKS

You are responsible for cooperating with chargeback evidence requests and providing information reasonably requested by WIPPASS.

Where a chargeback arises from your event, your failure to perform, misleading information, duplicate collection, unauthorized activity or another matter within your responsibility, WIPPASS may recover the chargeback and associated permitted costs from you.

14. FRAUD AND RISK CONTROLS

WIPPASS may suspend ticket sales, settlement, event publication, ticket issuance or account access while investigating suspected fraud, unlawful activity, excessive chargebacks, unusual transaction patterns, identity concerns or material non-performance risk.

15. ATTENDEE DATA

You may use attendee information made available through WIPPASS only for lawful event administration, customer support, safety, event communications and other purposes permitted by applicable law and WIPPASS policies.

You must not sell attendee personal data or use it for unlawful, deceptive or unrelated purposes.

16. SAFETY AND ADMISSION

You are responsible for lawful venue capacity, security planning, crowd management, ingress, egress and reasonable safety measures.

WIPPASS ticketing or check-in technology does not replace your operational safety obligations.

17. TAXES AND COMPLIANCE

You are responsible for determining and meeting tax, licensing, regulatory and reporting obligations that apply to your event, except for obligations that applicable law expressly places on WIPPASS.

18. ORGANIZER CONTENT

You grant WIPPASS the rights reasonably necessary to host, display, distribute and promote event information, banners and other Organizer content through WIPPASS.

You confirm that you have the necessary rights to materials you upload.

19. PROHIBITED EVENTS

You must not use WIPPASS for unlawful, fraudulent, deceptive, unsafe or prohibited events. WIPPASS may refuse or remove events that create material legal, safety, payment or reputational risk.

20. NO GUARANTEED PAYOUT

A displayed balance or expected payout is not an unconditional debt immediately due where refunds, chargebacks, fraud reviews, payment reversals, legal obligations or reserve rights remain outstanding.

21. INDEMNITY

To the extent permitted by law, you agree to indemnify WIPPASS against third-party claims, purchaser claims, losses and reasonable costs arising from your event, your non-performance, your unlawful conduct, your content, your breach of these Organizer Terms, or your failure to meet refund, safety, tax or regulatory obligations.

This does not cover loss caused by WIPPASS's own unlawful conduct.

22. LIMITATION OF WIPPASS RESPONSIBILITY

WIPPASS provides event technology and payment/ticketing facilitation. Unless expressly agreed otherwise, WIPPASS does not control your venue, performers, suppliers, staff or event operations.

Nothing in these Organizer Terms excludes liability that cannot lawfully be excluded.

23. SUSPENSION AND TERMINATION

WIPPASS may suspend or terminate Organizer access where reasonably necessary because of fraud, material breach, excessive disputes, legal requirements, safety concerns or material risk to purchasers or WIPPASS.

Termination does not remove outstanding refund, chargeback, indemnity, payout-recovery or other accrued obligations.

24. GOVERNING LAW

These Organizer Terms are governed by the laws of the Federal Republic of Nigeria, subject to mandatory laws that apply and cannot lawfully be excluded.

25. ELECTRONIC ACCEPTANCE

Your electronic acceptance, account identifier, server timestamp and applicable Organizer Terms version may be stored as evidence of agreement.
